Terms of Service

1. Acceptance of Terms

Welcome to HeyGrats. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Sarabyte Digital Solution ("Company," "we," "us," or "our"), a company registered in Malaysia.

By accessing or using the HeyGrats platform, website, and services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Account Registration

To use certain features of the Service, you may be required to register for an account. You agree to:

  • Provide accurate, current, and complete information.
  • Maintain the security of your password and accept all risks of unauthorized access to your account.
  • Notify us immediately if you discover or suspect any security breaches.

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate your account if you provide false information or violate these Terms.

3. User Content and Conduct

3.1 Ownership of Content

You retain all rights and ownership of the photos, images, and data you upload to the Service ("User Content"). We do not claim ownership of your User Content.

3.2 License to Host

By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, and display your User Content solely as necessary to provide the Service to you (e.g., displaying photos to your event guests).

3.3 Prohibited Conduct

You agree not to use the Service to upload, post, or transmit any content that:

  • Is unlawful, threatening, abusive, harassing, defamatory, or hateful.
  • Contains pornography, explicit nudity, or graphic violence.
  • Infringes on the intellectual property or privacy rights of any third party.
  • Contains viruses, malware, or any other harmful code.

We reserve the right (but have no obligation) to review and remove any User Content that violates these Terms without prior notice.

4. Intellectual Property Rights

The Service itself (excluding User Content), including its code, design, branding, and "HeyGrats" logo, is the exclusive property of Sarabyte Digital Solution and is protected by Malaysian and international copyright laws.

5. Payment Terms and Refunds

5.1 Fees

Certain features of the Service (e.g., Premium Events) require payment. You agree to pay all applicable fees presented to you at the time of purchase.

5.2 Payment Processing

Payments are processed by third-party payment processors (e.g., Stripe). We do not store your full credit card information.

5.3 Refund Policy

  • General Rule: Fees are non-refundable except as required by law.
  • Exceptions: If the Service is unavailable for a significant duration during your scheduled event due to our technical failure, you may request a refund by contacting support@heygrats.com. Refunds are granted at our sole discretion.

6. Service Availability and Modifications

We strive to keep the Service available 24/7. However, we cannot guarantee uninterrupted access due to maintenance, updates, or third-party (e.g., Vercel, DigitalOcean) outages. We reserve the right to modify, suspend, or discontinue any part of the Service at any time.

7. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied. We do not guarantee that the Service will be error-free, secure, or that any defects will be corrected.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: In no event shall Sarabyte Digital Solution, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.

Our total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid to us for the Service in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Sarabyte Digital Solution from any claims, damages, liabilities, and expenses (including legal fees) arising out of your use of the Service, your User Content, or your violation of these Terms.

10. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Malaysia. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Kuching, Sarawak, Malaysia.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date at the top of this page. Your continued use of the Service constitutes acceptance of the new Terms.
